Chief Financial Oversight Officer (CFOO) 

Seasoned financial executive and London Business School MBA, Michel has managed companies with $100M+ under oversight. At Plethora, he serves in a unique CFOO mandate: an independent contract to oversee every sponsor and investor dollar against the capital deployment plan. His role is more than financial reporting — he acts as trustee-level guardian of funds, ensuring all capital is applied precisely to patents, pitch deck, GTM validation, and operations. Backed by $1M in professional liability insurance, Michel provides sponsors with assurance that resources are protected, recoverable, and allocated exactly as committed. His mandate is independence, his duty is compliance, and his oversight frees the founder to stay focused on execution.

Trustee & Legal Escrow

Target Canadian law firm to act as trustee for investor funds. While the specific mandate will be formalized at the sponsor stage, Plethora will engage Stikeman Elliott — or an equivalent top-tier Montreal firm — to safeguard the SAFE agreements and hold all incoming capital for the $60M raise. Their role: receive sponsor funds, secure legal escrow, and release capital only per agreed milestones. At the $10M trigger event, they activate the investor sequence: paying the sponsor’s bonus, mandating U.S. incorporation, and aligning with Santoni Legal to create the Plethora Parent Company. Working in tandem with Plethora’s CFOO, they ensure no capital moves without dual oversight, making the legal and financial structure airtight.

Parent Company Incorporation

Intended U.S. partner to incorporate Plethora’s Parent Company in Texas or another jurisdiction as needed. In coordination with our Montreal trustee firm, Santoni will integrate all SAFE agreements, ensure sponsor and investor rights are reflected in the parent charter, and oversee enforceable IP protections. They will collaborate closely with Plethora’s CFOO to establish compliant banking and ensure capital flow respects the agreed oversight model. Internationally recognized for guiding major technology companies through cross-border structuring and investor protections, Santoni brings the proven expertise required to anchor Plethora’s transition from patents and planning into operational scale, giving sponsors and investors confidence their capital is safeguarded.
